What is a Contract?

A Contract (also known as "Agreement") is a physical or electronic document entered between an Organization and a third party, such as a Customer, a Supplier, a Partner, or a Rights-Holder.

Contract Types

Contract Type defines the type of Asset on which Royalties will be calculated.
Name
Definition
Label Contract
When the Contract covers Recording Assets, such as Albums, Tracks and/or Videos.
Publisher Contract
When the Contract covers Publishing Assets, such as Works.
Other Contract
When the Contract does not cover any Assets. To be used for any other deal type.

Money Flow

Money Flow defines if the Organization receives money by collecting Royalties or gives money by paying Royalties. This is a key concept similar to that of Payer/Payee above but dedicated to the Organization.

Adding a Contract with Royalty Splits then associating Assets with it

There are three steps to adding a Contract with Royalty Splits and associating Assets with it:

1. Adding a Contract

To add a new Contract, go to the navigation menu on the left, open the "Rights Management" section and click on the "Contracts" list. Then, click on the orange button "New Contract" located at the top right of the list and choose one of the options in the drop-down list (follow the links to learn more about Contract Type and Money Flow).
This will open a pop-up window with multiple tabs at the right of the Workspace to enter the metadata needed to add a new Contract. Please go to the Tabs section below to learn more.
To save the new Contract, click on the orange button "Save" located at the bottom right of the pop-up window. The new Contract will then be immediately available in the "Contracts" list. To stop the action, click on the grey "Cancel" button next to it.

2. Adding Royalty Splits to a Contract

To add Royalty Splits to a Contract, open a Contract pane and go to the Details > Terms tab.

For each Royalty Split Type, define a Royalty Calculation Base and the Royalty Percentage Rate Base grants to the Payer or the Payee by the Organization.
Royalty Percentage Rate Base is always based on 100% of the amount to earn or to pay. Therefore, when a Percentage Rate Base is applied to a Payer or a Payee, the remaining percentage is automatically applied to the Organization.
To save the new Royalty Splits, click on the orange button "Save" located at the top right of the window. To stop the action, click on the grey "Cancel" button next to it.

3. Associating Contracts with Assets (Tracks or Works)

To associate a Contract (or several at a time) and add Royalty Splits to Assets like Tracks (or Works), go to the navigation menu on the left, open the "Audio Management" section and click on the "Tracks" list (for Works, open the "Works Management" section and click on the "Works" list).
Select one or more Tracks in the Tracks list (or Works in the Works list), point them and click right (or click on the three dots icon
located on the right side of the line when you hover it) and then click on the "Edit" action in the opened contextual menu.
This will open a pop-up window with multiple tabs at the right of the Workspace to edit the Royalty Splits of the Contracts from the "Royalties" tab.
From the Search Box, add one or more "Money Out Label Contracts". This action will create the final Royalty Splits for the selected Tracks.
If needed, use the Percentage Adjustment Rate feature to add or remove percents to the Percentage Rate Base. For example, indicating 50% will halve the Percentage Rate Base. You can view the result in real-time in the preview.
To save the new Royalty Splits, click on the orange button "Save" located at the bottom right of the pop-up window. The new Royalty Splits will then be immediately added. To display them, open a Track pane and click to the Details > Royalties tabs or go to the Tracks List and add Royalty Splits Custom Columns. To stop the action, click on the grey "Cancel" button next to it.

Editing Contracts

To edit a Contract (or several at a time), go to the navigation menu on the left, open the "Rights Management" section and click on the "Contracts" list. Select one or more Contracts in the list, point them and click right (or click on the three dots icon
located on the right side of the line when you hover it) and then click on the "Edit" action in the opened contextual menu.
This will open a pop-up at the right of the Workspace to mass edit the metadata of the Contracts. To learn more about editing Contracts, follow the process "Adding a Contract" as explained above.
Please note Royalty Splits are not bulk editable.
To save the modification(s), click on the orange "Save" button located at the bottom right of the pop-up window. The modification(s) will then be immediately available in the Contracts list. To stop the action, click the gray "Cancel" button next to it.

Defines if the Contract is automatically renewed for a new period at the end of the period.

Defines an internal reference (for example the Contract identifier)

Defines a custom note.
